1. Introduction
Welcome. These Terms and Conditions govern your use of our software and services. By accessing or using our services, you agree to be bound by these terms.
2. License to Use
We grant you a non-exclusive, non-transferable, revocable license to use our software and services solely for your internal business operations.
3. User Obligations
You must not use our services for illegal purposes, you must provide accurate information, and you must maintain the confidentiality of your account credentials.
4. Prohibited Uses
You may not reverse engineer our software, transmit viruses or malware, or disrupt or interfere with our services in any way.
5. Intellectual Property Rights
All intellectual property rights of our software and services are owned by us or our licensors. No intellectual property rights are transferred to you through these terms.
6. Limitation of Liability
We shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.
7. Indemnification
You agree to defend and indemnify us against third-party claims arising from your breach of these terms or violation of applicable laws.
8. Termination
We may suspend or terminate your access immediately, without prior notice or liability, for any reason, including violation of these terms.
9. Changes to Terms
We reserve the right to modify these terms at our discretion. Continued use of our services implies acceptance of any changes.
10. Governing Law
For customers contracting with Pintor Project SpA, these terms are governed by the laws of Chile. For customers contracting with Pintor Project Co., these terms are governed by the laws of the State of Delaware, USA. In each case, conflict-of-law provisions are excluded.
11. Specific services and product terms
Specific Pintor Project services and products may be governed by additional terms that supplement or supersede these Terms: (a) Software-as-a-Service products (such as Auralytik) are governed by product-specific Master Agreements available at each product's website; (b) Consulting, custom development, and Microsoft Cloud Solution Provider (CSP) services are governed by the Pintor Project Master Services Agreement at https://pintorproject.com/msa, together with the applicable Service Order. Where any product-specific or service-specific agreement applies, it prevails over these Terms for matters within its scope.
